1. Acceptance of Terms

By accessing or using Nexora AI ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform. These terms apply to all users, including free trial users and paid subscribers.

2. Description of Service

Nexora AI provides an AI-powered construction planning and scheduling platform. The Platform generates planning outputs including work breakdown structures, activity schedules, critical path analyses, resource histograms, and related deliverables based on user-provided inputs.

Nexora AI reserves the right to modify, suspend, or discontinue any aspect of the service at any time with reasonable notice to paid subscribers.

3. License & Account Terms

Subject to your compliance with these terms, Nexora AI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes.

• One account per user. You may not create multiple accounts to circumvent billing or trial limitations.
• No account sharing. Accounts are personal. Sharing login credentials with anyone else is strictly prohibited.
• No resale. You may not resell, sublicense, or otherwise make the Platform available to third parties.
• Account responsibility. You are responsible for all activity under your account. Notify us immediately of unauthorized use.

4. Prohibited Conduct

You agree not to engage in any of the following:

• Reverse engineering. Decompiling, disassembling, or reverse engineering the Platform or its underlying algorithms.
• Prompt extraction. Systematically extracting, scraping, or harvesting AI prompts, outputs, or model behavior.
• Automation abuse. Using bots, scripts, or automated tools to access the Platform beyond normal usage patterns.
• Scraping. Scraping any content, user data, or platform output without express written permission.
• Illegal use. Using the Platform for any unlawful purpose or in violation of any applicable laws or regulations.
• Interference. Interfering with the operation of the Platform, including introducing malware or overloading systems.

5. Intellectual Property

The Platform, including its code, design, algorithms, and proprietary content, is owned by Nexora AI and protected by intellectual property laws. This agreement grants you a license only, not ownership. You retain ownership of your input data and project files.

6. Payment & Billing

Paid subscriptions are billed in advance on a monthly, quarterly, semi-annual, or annual basis depending on your selected plan. All fees are non-refundable except as expressly stated in our Refund Policy.

Price changes: Nexora AI may change prices for future billing periods. Existing paid periods remain honored at the rate at which they were purchased. Price changes will be communicated at least 30 days in advance.

Taxes: You are responsible for all applicable taxes. If your payment method fails, we may suspend access until payment is resolved.

7. Termination & Suspension

Nexora AI may suspend or terminate your account immediately without prior notice if you violate these terms or engage in abusive conduct. Suspended accounts are not entitled to refunds for the remaining billing period.

You may terminate your account at any time by contacting support. Upon termination, your access ceases at the end of the current billing period. Your data will be retained for 30 days after termination per our Data Processing policy.

8. Limitation of Liability

To the maximum extent permitted by law, Nexora AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. The Platform is provided "as is" without warranty of any kind.

Nexora AI's total liability for any claim arising under these terms shall not exceed the amount paid by you in the twelve months preceding the claim.

9. Changes to Terms

Nexora AI may update these terms at any time. Material changes will be communicated via email or in-app notification. Continued use after changes take effect constitutes acceptance of the updated terms.

• Account information: Name, email address, and billing information.
• Device and browser information: IP address, browser type and version, operating system, and device identifiers.
• Usage analytics: Features used, pages viewed, session duration, and interaction patterns within the Platform.
• Project data: Files you upload, planning inputs, and generated outputs (stored securely and never used for AI training).

• Provide, maintain, and improve the Platform
• Process payments and manage subscriptions
• Send service-related communications (receipts, updates, security alerts)
• Analyze usage patterns to improve user experience
• Detect and prevent abuse, fraud, or unauthorized access

5. Data Security

We implement industry-standard security measures including encryption at rest (AES-256), encryption in transit (TLS 1.3), access controls, and regular security audits. Data is stored in secure data centers in the KSA region for GCC customers and the EU region for all others.

Depending on your jurisdiction, you may have the following rights:

• Access: Request a copy of the personal data we hold about you.
• Correction: Request correction of inaccurate or incomplete data.
• Deletion: Request deletion of your personal data and project files.
• Portability: Request transfer of your data to another service.
• Objection: Object to processing of your data for certain purposes.

7. Changes to This Policy

We may update this Privacy Policy. Material changes will be communicated via email or in-app notification. We encourage you to review this policy periodically.

Refund requests are evaluated on a case-by-case basis. Every request undergoes manual review by our team. Approval is not guaranteed.

2. Refund Window

Refund requests are accepted only within 3 calendar days of the initial purchase date. Requests submitted after this window will not be considered unless required by applicable consumer protection laws.

3. Non-Refundable Conditions

Refunds are not available in the following circumstances:

• AI features have been used significantly (more than minimal testing)
• One or more projects have been created on the Platform
• Exports or downloadable deliverables were generated
• Uploaded files have already been processed by the AI engine
• The subscription was renewed automatically (renewals are non-refundable)
• The account violated the Terms of Service
• There is evidence of abuse, fraud, or chargeback history
• The account consumed excessive computational or AI resources

Subscriptions cancelled before the end of the billing period remain active until the period ends. No partial refunds are provided for unused time.

4. Request Process

To request a refund:

• Email support@nexoraplanner.com from your registered account email
• Include your account email, plan name, purchase date, and reason for the request
• Our team will review your request and respond within 5 business days
• If approved, refunds are processed to the original payment method within 10 business days

5. Chargebacks

If you dispute a charge through your payment provider before contacting us, your account will be immediately suspended. We will provide transaction evidence to your payment provider. Accounts with successful chargebacks will be permanently closed and may be reported to debt collection agencies.

1. How to Cancel

You may cancel your subscription at any time through your Account Settings page. Alternatively, email support@nexoraplanner.com from your registered email address with your cancellation request.

No cancellation fees apply. You will continue to have access to your paid features until the end of the current billing period.

2. After Cancellation

• Your subscription will not renew at the end of the current billing period
• You will retain access to all paid features until the billing period ends
• After expiration, your account will revert to the Free tier (if available) or be suspended
• No partial refunds are provided for unused days in the billing period

3. Data After Cancellation

You may export your project data at any time before or after cancellation. Project data is retained for 30 days after subscription expiration, after which it may be permanently deleted. Contact us if you need additional time to migrate your data.

1. Allowed Use

Nexora AI is intended for professional construction planning, scheduling, and project management. Authorized users include planning engineers, project managers, construction professionals, and their authorized team members.

2. Prohibited Activities

The following activities are strictly prohibited on the Platform:

• Uploading malicious code, viruses, or any content that could harm the Platform or other users
• Attempting to circumvent access controls, authentication mechanisms, or payment systems
• Using the Platform for any unlawful, fraudulent, or deceptive purpose
• Harassing, threatening, or abusing other users or Nexora AI staff
• Uploading content that infringes on third-party intellectual property rights
• Using the Platform to generate content that is harmful, discriminatory, or illegal
• Interfering with the Platform's operation through excessive API calls, denial-of-service attacks, or resource abuse
• Modifying, adapting, or creating derivative works of the Platform without authorization
• Using automated tools to create accounts, generate outputs, or extract data beyond reasonable usage limits

Nexora AI actively monitors for violations of this policy. Violations may result in:

• Immediate suspension or termination of your account
• Forfeiture of any paid fees
• Reporting to relevant authorities for illegal activity
• Permanent ban from the Platform

Cookies are small text files stored on your device by your web browser. They help websites remember your preferences, authenticate your session, and analyze usage patterns to improve the user experience.

• Essential cookies: Required for the Platform to function. These include session cookies, authentication cookies, and security tokens. Without these, the Platform cannot operate properly.

All AI-generated outputs should be reviewed by qualified professionals before being used for any decision-making, client submission, regulatory filing, or construction activity. This includes but is not limited to:

• Activity sequences and dependencies
• Duration estimates and productivity rates
• Resource allocation and leveling
• Critical path analysis
• Cost estimates and cash flow projections
• Schedule compression recommendations

3. Assistance Only — Never Engineering Advice

Nexora AI provides planning assistance and generative suggestions. These outputs do not constitute professional engineering advice, certified construction schedules, or legally binding documents. The user assumes all responsibility for validating and applying AI-generated content to their specific project context.

Nexora AI generates planning data, schedules, and recommendations. These outputs are tools to assist your workflow — they are not substitutes for professional engineering judgment, local regulatory compliance, or site-specific planning expertise.

2. User Responsibility

The following outputs from Nexora AI must always be reviewed by qualified professionals before execution or submission:

• Planning results: WBS structures, activity lists, and organizational breakdowns
• Schedules: Activity sequences, durations, dates, and milestone plans
• Calculations: CPM analysis, float values, and critical path determinations
• Recommendations: Schedule compression suggestions, what-if scenarios, and optimization proposals
• Relations: Activity dependencies, link types (FS, SS, FF, SF), and lag/lead values
• Resource suggestions: Crew composition, productivity rates, and resource allocation

The user remains fully responsible for all engineering decisions made using or influenced by Nexora AI outputs. Nexora AI is not a licensed engineering firm and does not provide certified engineering services.

3. Platform Outputs

All generated schedules and plans are drafts that require validation against:

• Contract specifications and requirements
• Local building codes and regulations
• Available resources and site conditions
• Client and stakeholder expectations
• Industry best practices and standards

1. Data Ownership

Your project files, uploaded documents, and planning inputs remain your property. Nexora AI claims no ownership over your data. You retain all intellectual property rights to your project content.

2. How We Process Data

• Files are processed exclusively to provide the requested planning and scheduling services
• Data is analyzed by our AI engine and CPM algorithms to generate schedules, WBS, and related outputs
• Files are never sold, rented, or shared with third parties for any purpose
• Data is never used to train or fine-tune AI models
• Processed data is stored securely and isolated per customer account

3. Data Protection

All files and project data are protected with:

• Encryption at rest: AES-256 encryption for all stored data
• Encryption in transit: TLS 1.3 for all data transfers
• Access controls: Strict role-based permissions and authentication
• Secure infrastructure: Hosted on Vercel's enterprise-grade global edge network
• Geographic isolation: Data stored in KSA region (GCC customers) or EU region (others)

4. Data Deletion

You may request deletion of your data and project files at any time by emailing support@nexoraplanner.com. Upon deletion:

• All project files and generated outputs are permanently removed
• Personal account information is deleted (except as required for billing records)
• Deletion is irreversible

5. Retention Period

Active account data is retained for the duration of your subscription plus 30 days. After account cancellation or expiration, data is retained for 30 days to allow for export, after which it is securely deleted. Billing records are retained as required by law (typically 7 years).
